Background

Bruce N. Lipian is the co-founder and a Managing Director of StoneCreek Capital, an independent private equity sponsor he launched in 1992 alongside partner Drew Adams. StoneCreek acquires controlling stakes in growth-oriented, profitable lower-middle-market businesses. Rather than deploying a committed blind-pool fund, the firm operates as an independent sponsor, raising equity on a transaction-by-transaction basis. Over roughly three decades, Lipian and Adams have structured 45+ acquisitions and the firm has collected 37+ industry awards.

Before co-founding StoneCreek, Lipian spent four years as an Associate and Vice President at Kelso & Co., one of the pioneering leveraged-buyout firms in New York. Earlier, he spent three years as an Assistant Vice President in the high-technology lending division of Bank of Boston. His financial and operating experience is grounded in classic LBO and buyout dealmaking, which carries through to StoneCreek's control-oriented, operationally engaged investment style (the firm applies proprietary "100 Day Plan" and "Value Creation Roadmap" frameworks post-close).

Lipian holds a BA in Economics from the University of Washington, where he was elected Phi Beta Kappa, and an MBA in Finance from The Wharton School at the University of Pennsylvania. He is deeply embedded in the Southern California deal community: he is a founding member of the Orange County Transaction Network, an active member of the Orange County chapter of the Association for Corporate Growth (ACG), and served on the organizing committee for the Southern California ACG MBA Cup — relationships that give StoneCreek strong West Coast deal-origination channels.

Beyond investing, Lipian has served as an adjunct professor at the Mihaylo College of Business and Economics at Cal State Fullerton and as Vice Chairman of the Board of Kids Konnected, a children's cancer-support nonprofit.

Investment Thesis & Focus

  • Control buyouts of mature companies, not startup/seed bets. StoneCreek pursues "change in control buyouts with a variety of sellers" — entrepreneurs, family businesses, PE portfolio companies, and corporate spinoffs.
  • Financial screen: Targets companies with $3M–$15M of EBITDA, enterprise values of ~$10M–$100M, and EBITDA margins of at least ~10%.
  • What makes them say yes: Strong management teams with a track record of growth and profitability; unique, defensible positions in healthy end markets; limited capital intensity; and clear opportunities for operational/strategic improvement and add-on acquisitions.
  • Value-added, hands-on ownership: The firm emphasizes active partnership with management and uses proprietary tools (the "100 Day Plan" and "Value Creation Roadmap") to drive post-acquisition appreciation.
  • Independent-sponsor model: Capital is raised deal-by-deal rather than from a pre-committed fund, so each transaction is underwritten and syndicated on its own merits.
  • Sector concentration: Historically business services, manufacturing, media, and value-added distribution, plus aerospace/defense, experiential marketing, and retail/restaurant.

Notable Investments

  • Kova International — recent StoneCreek platform acquisition.
  • Pinnacle Exhibits — exhibit/experiential marketing and trade-show environments.
  • Mob Scene — entertainment marketing / creative agency (media & entertainment).
  • Rio Ranch Market — Hispanic grocery/retail (retail & restaurant vertical).
  • Montana Silversmiths — Western-themed jewelry, buckles, and accessories manufacturer.
  • ACCESS DMC — destination and event management services (experiential/business services).
