James Warburton

James Warburton is a technology operator and private-equity operating partner with more than 20 years in senior technology positions across multiple sectors, ranging from local, family-owned businesses to global, publicly traded organisations. His self-described specialism is technology due diligence and digital transformation, and he has spent 8+ years applying that lens to turnaround and M&A situations for PE/VC investors.

He joined Rcapital — the UK mid-market's leading carve-out and special-situations investor, founded by Jamie Constable — around November 2016 as Chief Technology Officer and technology operating partner. In that role he carried out technical due diligence on 60+ businesses and worked actively across 30+ portfolio companies spanning many industries, including a number of complex carve-outs from large multinationals, using best-of-breed technology to strengthen client-facing services and management teams.

Warburton is now an Operating Partner at Modella Capital, the retail-focused private-equity firm Constable established in August 2022 under the Hay Wain Group. There he leads technology due diligence and digital-transformation work on the firm's retail acquisitions. He also serves as Chief Technology Officer of Digital Egg Limited in London. Earlier in his career he ran his own advisory practice, Tektar Consulting Limited, and held technology roles including at Cablenet Trackmaster.

His stated core competencies include IT strategy, cloud computing, systems integration and IT operations — i.e., the operational, post-deal side of investing rather than deal sourcing or term-sheet negotiation.
