Background
Jason Altieri is a longtime Silicon Valley fintech lawyer and operating executive best known for his eight-year run as General Counsel, Corporate Secretary, and Chief Compliance Officer at LendingClub, the marketplace-lending pioneer. He joined LendingClub around 2009 and, in 2014, led the legal work behind the company's roughly $1 billion IPO on the NYSE (ticker: LC) — one of the largest fintech public offerings of its era. That same year he was named General Counsel of the Year (Private Companies) by the San Francisco Business Times and Silicon Valley Business Journal. He remained through LendingClub's post-IPO turbulence before departing in 2016, staying on as an advisor to the company.
Before LendingClub, Altieri was General Counsel and VP of Partnerships at Corefino, Inc., an outsourced accounting-technology provider. Earlier in his career he was a corporate partner at the international law firms Mintz Levin (Mintz, Levin, Cohn, Ferris, Glovsky and Popeo) and Sonnenschein Nath & Rosenthal (now Dentons), and spent more than nine years as an associate at the premier Silicon Valley technology firm Wilson Sonsini Goodrich & Rosati. He earned his Juris Doctor from the University of San Francisco School of Law (1994–1997) and is an active member of the California State Bar (bar no. 192515).
After LendingClub, Altieri built a résumé as a "go-to" GC for regulated fintechs. In February 2017 he became Chief Legal and Compliance Officer at Roofstock, the single-family-rental real-estate marketplace; he also held senior legal/compliance roles connected to Metromile (auto insurtech); and in July 2020 he was appointed General Counsel and Chief Compliance Officer at Happy Money (the consumer-debt payoff fintech formerly known as Payoff). Across these roles he has overseen billions of dollars in private debt and equity fundings, fund capitalizations, lending programs, public equity capital, and strategic acquisitions.
In June 2023, Altieri returned to private practice, joining Scale LLP as a Partner supporting the firm's Corporate & Securities and Fintech practices, where he advises fintech and financial-services companies on securities, regulatory, and compliance matters. He also serves as an advisor to early-stage fintech companies such as LENDonate, a lending marketplace for nonprofits.
Investment Thesis & Focus
- Invests and advises at the seed / early stage, consistent with an individual angel rather than an institutional fund.
- Strongest edge is in regulated fintech: consumer and marketplace lending, insurtech, real-estate fintech, and financial-services companies that must navigate securities, banking, and compliance regimes.
- Brings a legal, regulatory, and compliance lens to diligence — his value-add to founders is helping structure capital raises, fund formations, lending programs, and regulatory strategy, drawing on having taken LendingClub public.
- Likely gravitates toward Bay Area / U.S. fintech founders in sectors he has operated in firsthand (lending, mortgage, real estate investing, insurance).
Notable Investments
- LENDonate — advisor to this online lending/fundraising marketplace serving nonprofits.
- LendingClub (NYSE: LC) — not a personal investment, but he continued as an advisor after his 2016 departure, following his role leading its 2014 IPO.
