Background

Jeffrey Kabot is a Managing Director and co-principal of MezzCap Partners, LLC, a Los Angeles–based mezzanine finance firm founded in 2007. He has more than 31 years of experience spanning principal investing, mezzanine finance, mergers and acquisitions, and investment banking. At MezzCap he shares investment decision-making with fellow Managing Director Brian MacDonald.

Before MezzCap, Kabot built his career at a series of well-known West Coast and Wall Street firms. He was a Director at Levine Leichtman Capital Partners, a prominent Los Angeles structured-equity and private-equity firm; Senior Vice President and Director of Private Placements at Sutro & Co.; a Vice President at Dabney/Resnick/Imperial; and began his career as an analyst at Drexel Burnham (Drexel Burnham Lambert). This lineage — from high-yield and structured-finance origins at Drexel through junior-capital and mezzanine roles — informs MezzCap's focus on flexible, management-aligned capital for established businesses.

Kabot holds a BS in Economics from The Wharton School at the University of Pennsylvania (1988) and an MBA from UCLA's Anderson School of Management (1992). He also serves as an Advisory Board Member for The Riordan Program at UCLA Anderson, a program focused on expanding access to business education and careers.

Investment Thesis & Focus

  • Invests $1–5 million per deal in the form of mezzanine and structured capital, not early-stage venture equity.
  • Targets established lower-middle-market companies, generally with at least ~$10M in revenue and >$2M EBITDA, and a demonstrated ability to grow free cash flow.
  • Uses of capital: growth/expansion financing, acquisitions, management buyouts, recapitalizations, and the repurchase of equity held by non-management shareholders.
  • Requires that management owns, or has the opportunity to own, a meaningful equity stake — alignment with founders/operators is central to the thesis.
  • Sector-agnostic, U.S.-only, favoring companies with a strong competitive position and recurring revenue/cash flow.
  • Positions the firm as a "value-added financial partner" rather than a passive capital source; in the firm's words, it takes "a flexible investment approach that is tailored to meet the needs of the company and the requirements of the transaction," and offers follow-on capital for growth or acquisitions.

Notable Investments

  • Specific portfolio companies are not publicly disclosed on MezzCap Partners' website or in the freely available databases reviewed. MezzCap's investment decisions are made jointly by Jeffrey Kabot and Brian MacDonald, but a named deal list was not available from primary or public sources at the time of research.
