Jerry Carleton

Jerry Carleton is the founder and principal of Immix Law Group, a Portland, Oregon corporate and securities law firm he launched in 2011. He is a corporate and securities attorney who counsels private emerging and growth-stage companies on entity formation, raising capital, securities compliance, corporate governance, mergers and acquisitions, and day-to-day business matters. He earned a B.A., cum laude, from the University of Portland in 2001, and put himself through the night program at Lewis & Clark Law School, graduating with his J.D., cum laude, and a Special Certificate in Tax in 2007. He is admitted to practice in Oregon, Washington, and Tennessee, and serves on the Board of Visitors of Lewis & Clark Law School.

Carleton's perspective is shaped by being an operator first. While still in college he co-founded Keen Mobility with Vail Horton, a company making mobility equipment for people with disabilities that grew to more than 60 product lines, and he became its president in 2000. After four years practicing transactional law at Bullivant Houser Bailey in Portland, he founded Immix Law, which he grew to roughly six attorneys. He told Super Lawyers, "I've got the healed stomach ulcers to prove that we had hard times launching," reflecting his hands-on entrepreneurial experience.

By his firm's account, Jerry and his wife Heather have founded or co-founded sixteen companies across industries spanning durable medical equipment, SaaS, cryptocurrency mining, nonprofits, a private foundation, revenue-based capital, legal services, and commercial real estate. He also co-founded the nonprofit Incight (with Scott Hatley), supporting education and employment for people with disabilities, and the Hope Squared Foundation (2011), which funds maternity homes for women facing crisis pregnancies.

Carleton has become a recognized authority on cryptocurrency legal compliance, reportedly involved in more than three dozen cryptocurrency offerings, and he serves as Corporate Counsel / advisor to crypto-donation platform Engiven, where he helped develop compliant U.S. approaches including SAFT offerings. He has earned multiple Oregon Super Lawyers "Rising Star" awards (2009–2018), "Leaders in the Law" (2012), and "Forty Under 40" (2010) recognition.
