Background

John D. Flemming is President of Carpenter & Company and a Managing Member of the General Partner for the Carpenter Community BancFund. Carpenter’s own biography says he was appointed President of Carpenter & Company in 1991 and has overseen the firm’s activities, including its government asset management practice, broker/dealer subsidiary, investment banking function, and private equity activities.

His career has been centered on banking rather than broad technology angel investing. Carpenter & Company describes itself as having spent more than 50 years building and advising banks across the country, including de novo banks, established banks, and their investors. Public company filings for Pacific Mercantile Bancorp identify Flemming as President and Chief Operating Officer of Carpenter & Company and as a managing member of the Carpenter Funds’ general partner.

Flemming has served on multiple bank boards. Pacific Mercantile Bancorp disclosed that he joined its board in 2012 and served on the boards of Pacific Mercantile Bancorp and Pacific Mercantile Bank, including the Credit Policy, H.R. & Compensation, and Special Strategic committees. The same filing says he served from 2009 to 2014 as a director of Manhattan Bancorp and Bank of Manhattan, N.A., where he chaired the Compensation Committee.

He is a magna cum laude graduate of Harvard College and holds General Securities Principal and Representative licenses. Grasshopper Bank materials also describe him as a bank investor with more than 30 years of bank investing and consulting experience focused on new banks.

Investment Thesis & Focus

  • Focuses on banks and regulated financial institutions, especially de novo banks, community banks, and digital banks.
  • Carpenter & Company’s stated specialty is regulatory, financial, and strategic consulting for de novo banks, established banks, and their investors.
  • Carpenter Community BancFund has historically taken large, active ownership positions in banks rather than small passive angel checks; disclosed holdings include majority/control positions and stakes from roughly 35% to more than 90% in portfolio banks.
  • The firm’s post-2008 strategy, as described in Orange County Business Journal, was to invest in community banks with recognizable local franchises that were “underachieving.”
  • Flemming’s own public Grasshopper comment emphasizes execution against a defined strategic plan: “strategic plan as designed.”
  • Best fit appears to be founders or sponsors forming or scaling regulated banks, fintechs pursuing bank-charter strategies, or banking teams needing capital plus regulatory and board-level operating expertise.

Notable Investments

  • Grasshopper Bank / Grasshopper Bancorp: Digital commercial bank serving founders, startups, SMBs, fintechs, venture capital and private equity firms; Carpenter & Company was an existing investor in Grasshopper’s 2022 $30.4 million raise, and Flemming served as chairman before stepping down from that role while remaining on the board.
  • Bridge Bank / Bridge Capital Holdings: Carpenter Community BancFund received Federal Reserve approval in 2008 to acquire Bridge Capital Holdings and Bridge Bank, N.A.; later reporting said Carpenter invested $39 million by 2010 and exited in 2015 with gross proceeds of $144 million.
  • Pacific Mercantile Bancorp / Pacific Mercantile Bank: Carpenter Funds held a major ownership stake; Flemming served on the board from 2012 and was involved through Carpenter’s rights as a significant investor.
  • Plaza Bank / Plaza Bancorp: Carpenter-affiliated funds held control positions; Plaza was later acquired by Pacific Premier Bancorp in 2017.
  • Mission Community Bank / Mission Community Bancorp: Carpenter-affiliated funds controlled Mission Community; filings describe Carpenter’s involvement in its merger discussions with Heritage Oaks Bancorp.
  • Bank of Manhattan / Manhattan Bancorp: Carpenter-affiliated funds received Federal Reserve approval in 2008 to acquire Bank of Manhattan; Flemming served as a director from 2009 to 2014.
  • California General Bank: Identified in Los Angeles Times reporting as a Carpenter Community BancFund-backed bank that acquired Professional Business Bank.
