Background

Jordan S. Bernstein is a Managing Director and the General Counsel of CI Capital Partners, the New York–based middle-market private equity firm founded in 1993 by Frederick Iseman. He joined the firm in January 2007 and has served as its General Counsel and Chief Compliance Officer since February 1, 2012. In that capacity he is a member of the board of directors of essentially each of CI Capital's active portfolio companies, giving him a hands-on governance role across the firm's holdings rather than a purely legal/back-office function.

Before CI Capital, Bernstein was General Counsel at Caxton Health Holdings, and earlier held positions at AGM Partners, at the law firm Paul, Weiss, Rifkind, Wharton & Garrison, and at the investment bank Wasserstein Perella. That mix of law-firm, investment-banking, and in-house counsel experience is typical of a private-equity GC who handles deal execution, fund formation, compliance, and portfolio-company oversight.

He earned a Bachelor's degree from the University of Pennsylvania and a J.D. from Harvard Law School.

CI Capital itself describes its approach as "entrepreneurial private equity" — backing management teams to transform smaller companies into market leaders through organic growth plus add-on acquisitions. The firm reports that since 1993 it has completed 440+ acquisitions representing roughly $11 billion of enterprise value, and it closed a private equity fund at $620 million in commitments in 2011.

Investment Thesis & Focus

  • Control buyouts of the middle market, not venture or seed financing — CI Capital acquires majority/control positions in established businesses.
  • "Buy-and-build" strategy: acquire a platform company, then drive value through organic growth and a series of add-on acquisitions (the model it ran with Ply Gem and others).
  • Concentrated sector lens: outsourced business services, residential services, distribution & logistics, government services, and healthcare services.
  • Equity checks in the ~$10–50M range per platform, targeting small/medium companies that can scale into category leaders.
  • Bernstein's personal role is legal, compliance, and governance — as GC/CCO and a portfolio-company board member — rather than sourcing or leading deals, so he is best understood as a deal-execution and oversight principal, not a check-writing angel.

Notable Investments

  • Ply Gem Industries — residential exterior building products (siding/windows); CI Capital acquired it from Nortek in Feb 2004 for ~$560M, built it up with add-ons, and took it public (IPO 2013).
  • Great Lakes Window — vinyl window manufacturer, part of the Ply Gem building-products roll-up.
  • American Residential Services (ARS) — residential HVAC/plumbing services company.
  • A-T Solutions — counter-terrorism training and government services provider.
  • Conney Safety Products — distributor of industrial safety products.
  • KIK Custom Products — contract manufacturer of household and personal-care products.
