Background

Phil Ivey is the founder and Managing Director of Crofton Capital, LLC, a growth private equity firm he established in 2009. Since founding the firm, he has led each of its acquisitions, working directly with portfolio-company management teams to support growth over a long-term hold. The firm is based in the Boston area (Cohasset/Wellesley, Massachusetts) and focuses on acquiring majority control of stable, small-to-midsize businesses across the U.S. Northeast, often alongside co-investment partners.

Before starting Crofton Capital, Ivey spent roughly 15 years as a mergers-and-acquisitions advisor, most recently as a Managing Director at Harris Williams & Co., where he helped establish the firm's Boston office and advised middle-market clients across industrial manufacturing, business services, distribution, technology, consumer products, and financial services. Earlier in his career he was a Principal in the investment banking group of Tucker Anthony Sutro (now part of RBC Capital Markets).

His earlier experience includes a consulting role at KPMG Consulting (later BearingPoint), where he worked with companies on operational and financial-management improvements, and a position in the institutional equities group of UBS Securities in London.

Ivey earned an M.B.A. with highest honors from the Kellogg School of Management at Northwestern University.

Investment Thesis & Focus

  • Acquires majority control of stable, established small and midsize businesses — this is buyout/growth-equity private equity, not startup angel or seed investing.
  • Targets businesses with roughly $1–10 million of EBITDA and revenue under ~$100 million.
  • Sector focus: consumer products & services, niche manufacturing, value-added distribution, business services, and software / technology-enabled services.
  • Geographic focus on the U.S. Northeast.
  • Long-term, collaborative ownership approach: partners with existing management teams and provides strategic resources to grow companies over time, rather than pursuing quick flips.
  • Frequently teams with co-investors (e.g., DeltaPoint Capital, Boston Harbor Capital, Pine Street Capital Partners) on transactions.
  • Handles a range of transaction types, including management buyouts and ownership transitions for founder-owned businesses.

Notable Investments

  • CognitiveTPG — Supplier of point-of-sale transaction and barcode printers (founded 1972, Ithaca, NY), serving retail, banking, kiosk, healthcare, hospitality, automotive-service and logistics markets. Acquired September 2012 alongside DeltaPoint Capital, Boston Harbor Capital and Pine Street Capital Partners; reported as exited around October 2020. On the deal, Ivey said the firm was "particularly attracted to CognitiveTPG's terrific set of products and its excellent relationships with its OEM and integrator partners."
  • Schylling Associates — Massachusetts-based maker of classic and specialty toys; reported as a Crofton Capital acquisition (circa 2013).
