Background

Stefano Malagoli is the founder and Managing Partner of Kaleidos, an independent M&A advisory boutique active in corporate finance, mergers & acquisitions and debt restructuring. A chartered accountant (dottore commercialista) and statutory auditor, he has more than 20–25 years of experience advising on extraordinary finance operations ("operazioni di finanza straordinaria"), having worked as a financial advisor to Italian and American enterprises, multinational groups across Europe and the US, and private-equity funds. Kaleidos has advised on transactions such as Sacmi's acquisition of a 50% stake in CMH from IMA.

Alongside his advisory work, Malagoli has been an active promoter of Italian Special Purpose Acquisition Companies (SPACs). Together with Gino Lugli (a longtime Ferrero executive), Luca Giacometti and Silvio Marenco, he promoted Glenalta Food, a SPAC focused on the food, beverage, consumer and retail sectors, which combined with fruit-distribution group Orsero to take it public on Borsa Italiana. He subsequently promoted a second vehicle, Glenalta S.p.A., which in 2018 completed a business combination (reverse takeover) with the CFT Group, a Parma-based maker of food & beverage processing and packaging machinery, providing CFT up to roughly €88 million for growth.

More recently, Malagoli is a Partner at Quadrivio Group, where he is associated with the Silver Economy Fund — a private-equity vehicle investing in companies that serve the senior/aging-population market. He has also spoken at industry events on themes such as healthcare and the PNRR (Italy's recovery plan), and is noted as an author of publications on the use of artificial intelligence in business valuation.

Investment Thesis & Focus

  • Operates primarily as an M&A advisor and corporate-finance professional, not a check-writing angel; specializes in mid-market transactions, debt restructuring and "extraordinary finance" operations.
  • SPAC promoter: identifies established, often family-owned Italian industrial/consumer businesses as targets for public-market combinations (e.g., Orsero in food distribution, CFT in food & beverage machinery).
  • Sector tilt toward food & beverage, consumer/retail, and the "silver economy" (products and services for older consumers) via the Quadrivio Silver Economy Fund.
  • Cross-border orientation, with a track record bridging Italian companies and US / pan-European counterparties and private-equity funds.

Notable Investments

  • Glenalta Food (SPAC) → Orsero — Promoter of the food-focused SPAC that merged with fruit-and-vegetable distribution group Orsero, listing it on Borsa Italiana.
  • Glenalta S.p.A. (SPAC) → CFT Group — Promoter of the SPAC that completed a 2018 business combination with CFT, a food & beverage machinery group (founded 1945), raising up to ~€88M for development.
  • Silver Economy Fund (Quadrivio) — Partner in a private-equity fund investing in companies serving the senior consumer market.
  • Sacmi / CMH (advisory) — Kaleidos advised Sacmi on its acquisition of a 50% stake in CMH sold by IMA.
